By accessing or using ArcProof (the "Platform" or "Service"), operated by SkillUpArc LLC, a Delaware Limited Liability Company ("ArcProof," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.
The Service includes all learning content, AI-powered skill verification tools, ArcProof features, AI mentoring, assessment systems, resume analysis tools, coursework analysis, employer marketplace functionality, and any related services or applications.
We may update these Terms from time to time. Material changes will be communicated via email or an in-platform notice at least thirty (30) days before taking effect. Your continued use of the Service after such notice constitutes acceptance of the updated Terms.
You must be at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization (such as a university or employer), you represent that you have authority to bind that organization to these Terms.
All registration information you provide must be accurate, current, and complete. You agree to promptly update your information if it changes.
You must create an account to access the Service. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Accounts are non-transferable. You must not share, sell, or lend your account to any third party. You agree to notify us immediately at hello@skilluparc.com if you suspect unauthorized access to your account.
We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or that violate these Terms.
ArcProof is an AI-powered skill intelligence platform that enables users to:
Important: ArcProof provides educational tools and career-development resources. The Service does not guarantee employment, professional licensure, academic credit, or any specific career outcome. Skill scores represent assessed competency levels and are not a substitute for professional certification or regulatory qualification.
Subscription Plans. ArcProof offers a free tier and a paid ArcProof Pro subscription at $29/month (founding member rate). Enterprise programs are invoiced separately per agreement.
Free Tier. The free AI-readiness scan is available without payment. Free tier features are provided as-is and may be modified or discontinued at any time.
Money-Back Guarantee. ArcProof subscribers may request a full refund within fourteen (14) days of their initial subscription payment by contacting hello@skilluparc.com. After fourteen (14) days, subscription fees are non-refundable.
Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the billing period ends.
Price Changes. We will provide at least thirty (30) days' advance notice of any pricing changes to existing subscribers. Continued use after a price change constitutes acceptance. Founding Member subscribers are governed by the Founding Member Pricing section of these Terms.
Non-Refundable Items. Verified credentials, digital certificates, and ArcProof entries are non-refundable once issued.
Payment Processing. All payments are processed by Stripe. We do not store or have access to your full payment card details.
Your Ownership. You retain full ownership of all content you upload, submit, or create on the Platform ("User Content"), including resumes, assignments, project submissions, assessment responses, and forum posts.
License to ArcProof. By submitting User Content, you grant ArcProof a limited, non-exclusive, worldwide, royalty-free license to process, analyze, store, and display your content solely for the purpose of providing the Service — including AI-powered skill extraction, competency scoring, credential verification, and generating analytics viewable by you or parties you authorize.
No Sale or Distribution. We will not sell, rent, or distribute your User Content to third parties without your explicit consent, except as necessary to provide the Service or as required by law.
Our Content. All course materials, AI systems, platform design, trade names, and trademarks are owned by ArcProof. Your subscription grants a limited, non-exclusive, non-transferable license to access course content for personal, non-commercial learning purposes only.
Credentials. Earned credentials and certificates are yours to share. We reserve the right to revoke credentials obtained through fraud or violation of these Terms.

ArcProof uses artificial intelligence for mentoring, competency assessment, content generation, skill extraction, and learning path optimization. For full details, see our AI Usage & Transparency Policy.
You must complete all assessments and submissions honestly and represent your own authentic work. The AI mentor provides coaching and guidance — copying AI-generated outputs directly and presenting them as your own work violates academic integrity.
Violations of academic integrity may result in score invalidation, credential revocation, and account termination.
You agree to use the Service lawfully and in accordance with our Acceptable Use Policy. Without limitation, you agree NOT to:
ArcProof exposes an agent integration built on the Model Context Protocol ("MCP") that lets an external AI assistant you authorize read a limited, read-only set of your own ArcProof data. Access requires your explicit OAuth authorization, is scoped to your own records by row-level security, and may be revoked by you at any time. See Section 7 of our Privacy Policy for details on the data involved.
When using the MCP integration or any ArcProof API, you agree NOT to:
You are responsible for the actions of any AI assistant or client you authorize. Data returned to a third-party assistant is then subject to that provider's own terms and privacy practices, which SkillUpArc LLC does not control. We may suspend or revoke agent and API access for any use that threatens platform integrity, user privacy, or credential trust.
Your ArcProof credential is private by default. You control whether your verified skill scores are visible to employers through the marketplace. You may opt in or revoke marketplace visibility at any time from your account settings.
When you opt into the employer marketplace, only aggregated competency data and verified skill scores are visible — not raw submissions, personal details, or assessment responses. Your identity is revealed only when you choose to connect with a specific employer.
ArcProof does not guarantee job placement, interviews, or employment outcomes of any kind.
Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms.
By You. You may close your account at any time from your account settings. Upon closure, we will permanently delete your personal data within thirty (30) days, subject to any legal retention obligations.
By Us. We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a security risk. We will provide notice and an opportunity to export your data where practicable, except in cases of serious abuse.
Effect of Termination. Upon termination, your license to use the Service ceases immediately. Provisions that by their nature should survive (including intellectual property, limitation of liability, and indemnification) will survive termination.
Founding Member subscribers who subscribed at the promotional rate of $29/month (or the equivalent annual rate of $199/year) during the founding-member window will maintain their subscription rate for the lifetime of their continuous subscription. This rate applies only to the individual account holder and is non-transferable. SkillUpArc LLC reserves the right to modify or discontinue the platform with 90 days written notice. In the event of platform discontinuation, founding member subscribers will receive a pro-rated refund of any prepaid subscription fees.
ArcProof uses artificial intelligence to analyze resume data and generate skill gap reports, AI-readiness scores, and ArcProof credentials. These outputs are estimates based on information provided by the user and should not be relied upon as professional career advice. SkillUpArc LLC makes no guarantee that credentials will result in employment outcomes. Users are responsible for the accuracy of information submitted for analysis. AI-generated scores and recommendations may contain errors and should be used as one input among many in career planning decisions.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. AI-generated content, assessments, and skill scores are provided as educational tools and may contain inaccuracies.
ArcProof does not provide professional certification, licensure, legal advice, or career guarantees. Skill scores and credentials reflect assessed competency and should not be relied upon as the sole basis for hiring, academic, or regulatory decisions.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKILLUPARC'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SKILLUPARC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL SKILLUPARC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
You agree to indemnify, defend, and hold harmless ArcProof, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any third-party rights.
Informal Resolution. Before filing any formal legal proceeding, you agree to attempt to resolve disputes informally by contacting us at hello@skilluparc.com. We will attempt to resolve the dispute within thirty (30) days.
Governing Law. These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
Jurisdiction. Any disputes not resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
Consumer Protections. Users in the European Union, United Kingdom, or other jurisdictions with mandatory consumer protection laws retain all rights provided under applicable local law.
Entire Agreement. These Terms, together with the Privacy Policy, AI Usage Policy, User Content Policy, and Acceptable Use Policy, constitute the entire agreement between you and ArcProof.
Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
Waiver. Our failure to enforce any right or provision does not constitute a waiver of that right.
Assignment. You may not assign these Terms. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
